Terms of Service
These Terms of Service constitute a legally binding contract between you and Regtify (as defined in Section 1). Any commentary presented on this page (including text shown in italics) is provided for convenience only and does not form part of the legal contract.
These Terms of Service (“Terms”) govern your acquisition and use of the Regtify Service (as defined in Section 2), including during any free trial period and any paid subscription period.

Please note: Where contracts with paying customers were entered into prior to an earlier effective date of these Terms, those contracts remain governed by the terms in force at the time for their duration, unless otherwise agreed in writing. All contracts entered into after the effective date stated above shall be governed by these Terms.
1. Applicability
These Terms set out the conditions under which Regtify will provide the Regtify Service to you, and the obligations we require from you in return.
1.1 Contract Parties
This contract is entered into between Regtify Ltd (“Regtify”), a company incorporated in the Republic of Cyprus under registration number HE355806, and you, being the entity, company, organisation and any affiliates you are authorised to represent (and not a private consumer) (collectively, “you” or “your”).
1.2 Acceptance
By accepting these Terms or by accessing or using the Regtify Service, you confirm that you have the authority to bind the relevant entity and agree to be bound by these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not accept these Terms and must not use the Regtify Service.
1.3 Start Date
These Terms are effective between you and Regtify as of the time and date you accept them (for example, by clicking acceptance or by using the Regtify Service).
1.4 Alternative Arrangements
Any alternative or additional arrangements must be agreed in writing and signed by authorised representatives of both parties. Your own terms and conditions, even if referenced or accepted by Regtify, shall not apply and shall not form part of this contract unless expressly agreed in writing.
2. Scope
2.1 Regtify Service
Regtify will provide you with access to the Regtify Service for the duration of this contract. The Regtify Service consists of access to Regtify’s software-as-a-service platform and related content, including counterparty and general libraries, reference materials, glossary entries, help texts, website text and blog content made available via Regtify’s channels.
2.2 Free Trial
2.2.1 Start of Trial Period
Before subscribing to a usage tier, you may be registered for a trial period which provides limited access to Regtify Service functionality.
2.2.2 Deletion of Unused Trial Accounts
If your trial account remains inactive for more than twelve (12) months following the end of the trial period, Regtify reserves the right to remove your account and delete related data. You are responsible for exporting any data you require before that time.
2.2.3 Limitations during the Trial Period
Use of the Regtify Service during the trial period is provided without warranty and without support obligations, except where such exclusions are not permitted by applicable law.
2.3 Changes in Service
2.3.1 Minor Deviations
Any offers made by Regtify are non-binding. Regtify reserves the right to make minor deviations to the Regtify Service following your acceptance, provided such deviations do not materially reduce core functionality of the subscribed service.
2.3.2 Updates
Regtify may update, enhance, or modify the Regtify Service after your acceptance without affecting the validity of this contract.
2.4 Contract Duration
This contract remains in effect until: (a) you or Regtify terminate it in writing in accordance with these Terms; or (b) you have been inactive for more than twelve (12) months during the free trial period.
2.5 Survival
Your confidentiality obligations under these Terms survive termination. Upon termination, you must cease use of Regtify Confidential Information, Intellectual Property and/or Services and destroy all Regtify Confidential Information and Intellectual Property in your possession or control.
3. Payment
3.1 Subscription to Regtify Usage Tiers
3.1.1 Purchase
You may purchase access to Regtify usage tiers by contacting Regtify Support and providing accurate billing details.
3.1.2 Usage Tiers
Regtify provides access based on defined usage tiers which may limit (a) the number of concurrent business users and/or (b) the number of sessions. If you exceed thresholds defined in your subscribed usage tier, you may be prevented from further usage for the applicable limit or required to subscribe to a higher tier.
3.1.3 Refunds
Subscription fees are non-refundable. Partial refunds for any period are not available upon termination, except where required by applicable law.
3.1.4 Auto-Renewal, Cancellation and Revert to Trial
Subscriptions auto-renew at the end of the contract period for a further twelve (12) months unless cancelled by written notice at least thirty (30) days prior to the end of the then-current contract period.
3.1.5 Bonus and Discounts
Regtify may, at its sole discretion, offer discounts. Discounts have no cash value, may not be transferred or sold, and may be subject to additional terms (including expiry and usage limitations).
3.1.6 Future Functionality
You acknowledge that subscription purchases are based solely on functionality available at the time of purchase and are not contingent on any future features or functionality referenced orally or in writing.
3.1.7 Price Changes
Regtify may change pricing at its sole discretion. Price changes shall not affect active, already purchased subscription terms for their current paid period.
3.2 Invoicing
Subscription duration is twelve (12) months unless otherwise agreed in writing. Payment is due at contract start. Regtify will issue an invoice reflecting the confirmed subscription amount and any applicable discounts.
3.3 Taxation
All prices are exclusive of applicable taxes, levies, duties or similar governmental assessments, which will be added to invoices as legally required.
3.4 Payment
You must provide a valid billing address and a valid payment method (purchase order, credit card, or another method reasonably acceptable to Regtify). If paying by credit card, you authorise Regtify or its payment processor to charge the card for applicable fees. If paying by invoice, payment is due upon receipt and no later than thirty (30) days from the invoice date unless otherwise agreed in writing.
3.5 Late Payment
Regtify may notify you of late payments and may charge interest and/or late fees on overdue amounts as permitted by applicable law.
3.6 Suspension of Service and Termination
Either party may terminate your account. You may request termination by submitting a written request to info@regtify.com at least thirty (30) days before contract end.
Regtify may suspend access to the Regtify Service if: (a) any amount owed is more than thirty (30) days overdue; or (b) Regtify reasonably believes you and/or your end users have violated these Terms. Fraudulent, abusive, or illegal activity may be referred to appropriate authorities at Regtify’s sole discretion.
4. Confidentiality
Each party shall protect the other party’s Confidential Information from unauthorised use, access, or disclosure with the same care it uses to protect its own confidential information, and in any event no less than reasonable care.
Unless expressly permitted under these Terms, each party may use the other’s Confidential Information solely to exercise its rights and perform its obligations under these Terms and may disclose such Confidential Information only: (a) to its employees, representatives and subcontractors who have a need to know and are bound by confidentiality obligations; (b) to comply with an order, subpoena, or decision of a court or competent authority; or (c) to comply with applicable law or regulation.
This Section 4 supersedes any separate non-disclosure agreement between the parties to the extent it purports to govern confidentiality and security of data stored using the Regtify Service.
5. Responsibilities
5.1 Regtify Responsibilities
5.1.1 Availability
Regtify will use commercially reasonable efforts to make the Regtify Service available 24 hours a day, 7 days a week, except for: (a) planned maintenance (for which we aim to provide at least eight (8) hours’ notice electronically); and (b) downtime caused by events beyond Regtify’s reasonable control, including natural disasters, governmental acts, civil unrest, terrorism, strikes, cyber security incidents, or service provider failures.
5.1.2 Support
Regtify will provide basic support at no additional cost. Support requests may be submitted through the Regtify Service. Regtify will use commercially reasonable efforts to respond within two (2) business days. Regtify may offer separate commercial arrangements for complex support matters.
5.1.3 Privacy
You understand and agree that Regtify collects, uses, stores and otherwise processes personal information, utilisation data, and data created, stored, or uploaded by you and/or your end users through the Regtify Service, and may share such data with third-party service providers for the purpose of providing, maintaining, securing, and improving the Regtify Service.
Processed data may include your name, email address, and postal address, and the same categories of data for your end users. Where you provide credit card information, Regtify’s PCI-DSS compliant payment processor may store and use such information for authorised payment transactions.
Regtify will treat personal data confidentially and process it in accordance with applicable EU data protection requirements.
Regtify may access, preserve, and disclose personal information and/or data created, stored, or uploaded to the Regtify Service where required by law or legal process.
You agree to inform Regtify if you use the Regtify Service to process sensitive personally identifiable information as defined under applicable EU data protection law.
5.1.4 Subcontractors
Regtify may use domestic and international service providers to support delivery of the Regtify Service. Regtify will apply the privacy and confidentiality principles in these Terms to relevant subcontractor arrangements. Subcontractors located outside the European Economic Area will be selected only where an adequate level of protection is available or appropriate safeguards are implemented.
5.2 Customer Responsibilities
5.2.1 Authorised Users
You may only permit the number and type of users included within your subscribed usage tier to access the Regtify Service. “End Users” include all users you provide with access, whether internal or external to your organisation.
5.2.2 Account Credentials
You and your end users must keep account credentials (including login IDs and passwords) confidential and must not share credentials among multiple individuals. Credentials must be stored securely (including encrypted storage where applicable), and passwords must be changed regularly.
5.2.3 Connectivity
You are responsible for procuring and maintaining the infrastructure needed to access the Regtify Service, including internet connectivity, networks, devices, and supported browser software. Regtify is not responsible for the reliability, security, availability, or performance of components not operated by Regtify.
5.2.4 Copyright and Content Usage
You are granted a limited, non-transferable right to access and use the Regtify Service during the term of this contract.
All Regtify software, content, and documentation are protected by intellectual property laws and are the property of Regtify or its licensors. “Intellectual Property Rights” include all copyrights, trademarks, service marks, design rights, trade secrets, confidential information, inventions, processes, algorithms, libraries, and any associated applications or registrations.
Upon termination or suspension, all access rights under this Section 5.2.4 cease, and you are no longer authorised to use Regtify Intellectual Property.
5.2.5 Misuse of the Service
You agree not to: (a) modify or hack the Regtify Service except through intended configuration options; (b) falsely imply affiliation with Regtify; (c) reverse engineer or attempt to access source code; (d) infringe third-party intellectual property; (e) disrupt integrity or performance; (f) use the service unlawfully; (g) upload unlawful, discriminatory, racist, sexist, violent, or otherwise inappropriate content; (h) introduce or distribute malicious software (including viruses, trojans, or worms); or (i) use the service in violation of applicable laws (including unsolicited marketing or misuse for mass communications).
5.2.6 Your Data
You remain the sole owner and controller of your data and are responsible for its accuracy, including personal data of you and/or end users, comments, object descriptions, attachments, images, and custom control statements or risk content. You are responsible for exporting your data before termination if required.
You grant Regtify a worldwide, limited-term licence to host, copy, transmit, and display your data solely to provide the Regtify Service. Regtify may monitor limited aspects of user activity for security and service improvement purposes. Regtify acquires no ownership rights in your data.
5.2.7 Informing Users
You must ensure all end users are made aware of these Terms before using the Regtify Service.
5.2.8 Licence to use Feedback and Reference
You grant Regtify a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate feedback (including suggestions, enhancement requests, or recommendations) into the Regtify Service.
You also grant Regtify a worldwide, perpetual, royalty-free right to reference your organisation as a user of the Regtify Service, without disclosing confidential details of your usage or commercial terms.
6. Commissioned Data Processing
6.1 Data covered by Commissioned Data Processing
Where you operate in the European Union and process personal data using the Regtify Service, applicable EU data protection requirements apply.
6.2 Data Ownership
Regtify does not assume ownership or control over your data as defined in Section 5.2.6 and will process such data on your behalf where Regtify acts as a processor.
6.3 Responsibilities for Data Processing
You are responsible for compliance with obligations applicable to you as controller. Regtify is responsible for implementing appropriate technical and organisational measures to protect data processed within the Regtify Service.
6.4 Contractual Addendum
Where required, the parties shall enter into a data processing addendum (DPA) meeting applicable legal requirements.
7. Disclaimers, Liability and other Terms
7.1 Liability
To the maximum extent permitted by applicable law, Regtify (including its officers, employees, partners and licensors) shall not be liable for any indirect, incidental, punitive, consequential, or exemplary damages, including loss of profit, revenue, goodwill, use, data, or other intangible losses, arising from or relating to the Regtify Service, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
These limitations do not apply where liability cannot be excluded under applicable law, including in cases of wilful misconduct, gross negligence, or negligence resulting in personal injury.
Regtify content is advisory in nature and does not constitute assurance or audit results. Use of the Regtify Service does not remove management’s responsibility to implement and maintain adequate controls, or to detect and prevent fraud and breaches of regulatory or legal obligations.
7.2 Indemnity
You agree to indemnify and hold harmless Regtify, its officers, employees, partners and licensors from third-party claims alleging that your use of the Regtify Service infringes or misappropriates valid intellectual property rights of a third party.
7.3 Warranty
To the maximum extent permitted by law, the Regtify Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Regtify does not warrant uninterrupted, secure, timely, error-free operation or absence of malicious software.
7.4 Jurisdiction
These Terms are governed by the laws of the Republic of Cyprus, excluding conflict of law rules and excluding the UN Convention on Contracts for the International Sale of Goods.
7.5 Severability
If any provision of these Terms is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable while best reflecting the original intent. The remaining provisions shall remain in full force and effect.
7.6 Trademark
Regtify is a trademark of Regtify Ltd. You may not claim rights in the trademark, dilute its distinctiveness, or use it to disparage or misrepresent Regtify, the Regtify Service, or other Regtify products.
7.7 Export Controls
You agree to comply with applicable U.S. and EU export control laws and regulations. You are responsible for verifying and complying with all applicable restrictions. The Regtify Service may not be accessed or used by persons or entities subject to sanctions or listed on restricted party lists, including Specially Designated Nationals and other denied parties.
7.8 Changes to the Terms of Service
If Regtify plans changes to these Terms, Regtify will aim to provide notice at least thirty (30) days prior to the changes taking effect. Any changes or additions must be agreed in writing unless updates are required to comply with law or reflect changes in service that do not materially reduce subscribed functionality.
